Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Jan Thér, sole trader (IČO 01465694, VAT ID CZ9010073479), registered in the Czech Republic ("Partner Metrics", "we", "us") governing your access to and use of the Partner Metrics website and application (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

If you are using the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.

Partner Metrics reads data from your Shopify Partner account through the Shopify Partner API and turns it into SaaS analytics (such as MRR, churn and retention), App Store rank tracking, and configurable notifications. The Service reads your Partner data on a read-only basis and never modifies anything in your Shopify Partner account.

We may add, change or remove features over time. Some features depend on third-party services you choose to connect, such as Google Analytics, Google BigQuery or Slack.

You must provide accurate information when you register and keep your credentials secure. You are responsible for all activity under your account. Each workspace is scoped to an organization; the organization owner controls membership, billing and connected data sources.

You must be at least 18 years old and legally able to enter into these Terms to use the Service.

Paid plans are billed in advance on a recurring basis. Our payments and billing are handled by Paddle, which acts as the Merchant of Record for all purchases. This means Paddle, not Partner Metrics, is the seller of record and is responsible for processing payments, charging applicable VAT or sales tax, issuing invoices and receipts, and handling chargebacks.

By purchasing a paid plan you also agree to Paddle's buyer terms. Prices are shown before checkout; unless stated otherwise they exclude taxes, which are added at checkout. You can change or cancel your subscription at any time; cancellation takes effect at the end of the current billing period and, except where required by law, fees already paid are non-refundable.

Refunds, where offered, are processed through Paddle in accordance with their policies and applicable law.

You agree not to misuse the Service. In particular, you will not: access data that is not yours; attempt to breach security or authentication; reverse engineer or scrape the Service beyond normal use; resell or provide the Service to third parties without our permission; or use the Service to violate any law or the rights of others.

You are responsible for ensuring that your use of the Service, including the data you connect, complies with your agreements with Shopify and with applicable law.

You retain all rights to the data you connect to the Service, including your Shopify Partner data. You grant us a limited licence to process that data solely to provide and improve the Service for you. Our handling of personal data is described in our Privacy Policy, and where we act as your processor, in our Data Processing Addendum.

We store your connected data securely and keep each organization's data isolated from others.

The Service, including its software, design and content, is owned by Partner Metrics and its licensors and is protected by intellectual-property laws. These Terms do not grant you any rights in the Service other than the limited right to use it as permitted here.

The Service integrates with third parties including Shopify, Google and Slack. Your use of those services is governed by their own terms and privacy policies, and we are not responsible for them. Partner Metrics is an independent product and is not affiliated with, endorsed by or sponsored by Shopify Inc.

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that analytics will be free of inaccuracies. You should not rely on the Service as your sole source for financial or tax decisions.

To the maximum extent permitted by law, Partner Metrics will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or if required to protect the Service or comply with law. On termination your right to use the Service ends; sections that by their nature should survive (such as data ownership, disclaimers and limitations of liability) will survive.

We may update these Terms from time to time. If we make material changes we will provide reasonable notice, for example by email or in the app. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of Czech Republic, without regard to its conflict-of-laws rules, and any disputes will be subject to the exclusive jurisdiction of its courts, except where mandatory consumer-protection law provides otherwise.
